These Terms of Use (“Terms”) govern your use of SayHere, including the SayHere website and AI-powered features.

By creating an account or using SayHere, you agree to these Terms.

Please read them before using the service.

1. Who can use SayHere

You must be 18 years or older to use SayHere.

By using the service, you confirm that you meet this age requirement and have the legal capacity to enter into these Terms.

SayHere is not intended for children or persons under 18.

If we reasonably believe that an account is being used by a person under 18, we may restrict or close the account.

2. Your account

Some SayHere features may be available without an account. Other features require registration.

You are responsible for:

• providing an email address you are entitled to use;
• keeping access to your email account, authentication codes and active sessions secure;
• not allowing another person to misuse your account;
• notifying us if you believe your account has been accessed without authorization.

You may not impersonate another person or create an account using information you are not entitled to use.

3. What SayHere is

SayHere is an AI-powered service that helps people talk through personal situations involving relationships, communication, loneliness, difficult feelings and recurring thoughts.

The service may help you:

• describe what happened;
• organize your thoughts;
• distinguish known facts from assumptions;
• explore different perspectives;
• reflect on your own role in a situation;
• consider possible next steps;
• draft messages you may choose to send.

SayHere is intended to support reflection.

It does not decide what you should do, and you remain responsible for your own decisions.

4. You are interacting with AI

SayHere uses artificial intelligence.

The AI is not a human being and should not be presented or understood as one.

AI-generated responses are produced automatically and may be:

• incomplete;
• inaccurate;
• outdated;
• inappropriate for your particular circumstances;
• based on incomplete or misunderstood context.

The AI cannot know another person's private thoughts, intentions or feelings unless that information has actually been provided.

SayHere does not guarantee that an interpretation of another person's behavior is correct.

You should use AI responses as material for reflection rather than as verified facts.

5. SayHere is not professional advice or therapy

SayHere is not:

• psychotherapy;
• medical or psychiatric care;
• diagnosis or treatment;
• legal advice;
• financial advice;
• a professional counselling service;
• an emergency or crisis service.

Nothing generated by SayHere should be treated as a diagnosis or as a substitute for qualified professional advice where such advice is appropriate.

Do not rely on SayHere as the sole basis for urgent medical, legal, financial, personal-safety or other high-impact decisions.

6. Emergencies and immediate safety

SayHere is not designed to provide emergency response.

If you believe that you or another person is in immediate danger, contact the appropriate local emergency service or another source of immediate real-world help.

Where the system identifies information suggesting a serious safety concern, SayHere may prioritize safety-oriented information over ordinary relationship analysis.

This does not mean that SayHere continuously monitors users or guarantees that it will identify every dangerous or urgent situation.

7. Content you provide

You may choose to provide SayHere with personal text, messages, descriptions of events, screenshots and other information.

You retain any rights you have in the content you provide.

You give AI Swiss Group klg a limited, non-exclusive permission to host, transmit, reproduce and process that content only to the extent reasonably necessary to:

• provide the SayHere service you request;
• generate and save requested AI responses;
• maintain your Situations and account;
• provide security and prevent abuse;
• comply with applicable legal obligations.

This permission does not transfer ownership of your content to us.

It lasts only for as long as the relevant content needs to be processed under these Terms and our Privacy Policy, subject to legitimate technical, legal and retention requirements.

Our handling of personal data is explained in the Privacy Policy.

8. Information about other people

A Situation may involve messages, actions or information relating to another person.

Please provide only information reasonably necessary to discuss your Situation.

Where possible, avoid unnecessary:

• full names;
• home addresses;
• identification documents or numbers;
• financial information;
• intimate images;
• unrelated private information.

You are responsible for ensuring that your use of content concerning other people is lawful.

Do not upload material that you have no right to provide or that is intended to unlawfully invade another person's privacy.

SayHere does not independently verify allegations, descriptions or interpretations concerning another person.

9. Acceptable use

You may use SayHere for lawful personal purposes.

You must not use the service to:

• violate applicable law;
• plan, facilitate or encourage unlawful violence, abuse, stalking, harassment or exploitation;
• sexually exploit or endanger a child;
• threaten or deliberately harass another person;
• impersonate another person for fraudulent or harmful purposes;
• upload malware or malicious code;
• interfere with the security or operation of SayHere;
• obtain unauthorized access to accounts, systems or data;
• deliberately bypass usage, security or access controls;
• use automated systems to overload, scrape or abuse the service;
• reverse engineer or circumvent technical protections except where applicable law expressly permits this;
• use SayHere to infringe another person's intellectual-property or other legal rights.

These restrictions do not prevent you from talking about difficult experiences.

You may discuss abuse, violence, self-harm thoughts, coercion, stalking, grief, conflict or other distressing circumstances in order to seek reflection or support from the service.

10. AI-generated content

SayHere may generate replies, summaries, reflections, suggested next steps, message drafts and other AI-generated material.

Subject to applicable law and third-party rights, you may use the AI-generated responses provided to you for your own lawful purposes.

AI outputs are not guaranteed to be unique. Similar or identical material may be generated for other users.

We do not guarantee that AI-generated material:

• is factually correct;
• is complete;
• is suitable for a particular purpose;
• does not resemble existing material;
• qualifies for copyright or other intellectual-property protection.

You should review any message draft or other output before using or sending it.

11. SayHere intellectual property

The SayHere service, including its software, branding, design, interface, original site content and related materials, is owned by or licensed to AI Swiss Group klg and may be protected by copyright, trademark and other laws.

These Terms give you permission to use SayHere for its intended purpose.

They do not transfer ownership of SayHere software, branding or other proprietary materials to you.

You may not copy, sell, sublicense, redistribute or commercially exploit substantial parts of the SayHere service except with our permission or where applicable law allows it.

12. Availability and changes to the service

We aim to keep SayHere available and functioning reliably, but we do not guarantee uninterrupted or error-free availability.

The service may occasionally be unavailable because of:

• maintenance;
• technical failures;
• security incidents;
• provider outages;
• updates;
• circumstances outside our reasonable control.

We may modify, add, remove or discontinue features as SayHere develops.

Where a material change affects stored user data, we will seek to provide reasonable information or access to available export or deletion controls where practical and legally required.

Experimental or early-stage features may change more frequently than established features.

13. Suspension and termination

You may stop using SayHere at any time.

Where available, you may also delete your account through the service or request deletion in accordance with our Privacy Policy.

We may temporarily restrict, suspend or terminate access where reasonably necessary because of:

• serious or repeated violation of these Terms;
• unlawful use of the service;
• fraud or deliberate abuse;
• threats to the security of SayHere or other users;
• unauthorized access or automated attacks;
• a binding legal requirement.

Where reasonably possible and legally permitted, we will try to act proportionately to the issue.

Suspension or termination does not remove privacy rights that you have under applicable law.

14. Privacy

Your privacy is important to how SayHere operates.

Our Privacy Policy explains:

• what personal data we process;
• why we process it;
• how AI providers and other service providers are involved;
• how long information may be retained;
• your privacy rights;
• how you can export or delete information.

The Privacy Policy forms a separate privacy notice and should be read together with these Terms.

Any separate consent required for sensitive personal-data processing is handled separately and is not created merely by accepting these Terms.

15. No guarantee of outcomes

People, relationships and personal circumstances are complex.

SayHere does not guarantee that use of the service will:

• improve or repair a relationship;
• resolve a disagreement;
• make another person respond in a particular way;
• accurately predict future behavior;
• improve mental health;
• produce a particular emotional or personal outcome.

The service may help you reflect, but you remain responsible for decisions and actions you take.

16. Liability and mandatory rights

We will provide SayHere with reasonable care, subject to the nature and limitations of an AI-powered online service.

To the fullest extent permitted by applicable law, AI Swiss Group klg is not responsible for indirect or consequential losses resulting solely from:

• reliance on an AI-generated interpretation or suggestion;
• temporary interruption or unavailability of the service;
• actions voluntarily taken by a user based on AI-generated content;
• circumstances outside our reasonable control.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.

In particular, these Terms do not exclude liability for intentional misconduct or gross negligence where such liability cannot legally be excluded.

Nothing in these Terms limits any mandatory consumer rights that apply to you.

17. Consumer rights

If you use SayHere as a consumer, you may have mandatory rights under the laws that apply where you live.

Those rights remain unaffected by these Terms.

Where applicable consumer law gives you remedies relating to the conformity, availability or performance of a digital service, these Terms do not remove those remedies.

If a provision of these Terms conflicts with a mandatory consumer-protection rule applicable to you, the mandatory rule will prevail to the extent of that conflict.

18. Governing law and disputes

These Terms are governed by the substantive laws of Switzerland, to the extent that this choice is legally permitted.

If you are a consumer, this choice of law does not deprive you of mandatory protections that you are entitled to under the law that would otherwise apply to you, including mandatory consumer protections in your country of habitual residence where applicable.

Where legally permitted, disputes relating to these Terms may be brought before the competent courts in the Canton of St. Gallen, Switzerland.

This does not limit any mandatory right a consumer may have to bring or defend proceedings before another court under applicable law.

Before starting formal proceedings, you are welcome to contact us at info@aiswissgroup.ch so that we can try to resolve the issue directly. This is optional and does not limit your legal rights.

19. Changes to these Terms

We may update these Terms when:

• SayHere features change;
• our legal obligations change;
• we introduce new functionality;
• changes are needed for security or operational reasons.

The current version will be published on SayHere with an updated effective or revision date.

Where a change materially affects your rights or obligations, we will provide additional notice where reasonably required by law.

If applicable law requires renewed agreement to a material change, we will request it.

Changes apply prospectively and do not remove rights that have already arisen under mandatory law.

20. General provisions

If part of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure by us to enforce a provision immediately does not mean that we permanently waive that provision.

We may transfer the operation of SayHere or these Terms as part of a lawful merger, restructuring or transfer of the business, subject to applicable law and any required notice.

These Terms do not create an employment, agency, partnership or joint-venture relationship between you and AI Swiss Group klg.
